Watch Match Authentication and Handover Service Schedule
1. Scope and Relationship with Other Documents
- This Authentication and Handover Service Schedule (the “Schedule”) applies to arrangements directly relating to watch authentication, delivery for authentication, case opening, inspection, reports, reviews, related custody and handover under Orders created through the Watch Match website, mobile application and related service interfaces (collectively, the “WM Platform”).
- Watch Match is a product of Primemory Limited. “WM” means Watch Match, the WM Platform and related services. Primemory Limited is WM’s operating and contracting entity and acts in relation to the contracts, fees, rights, obligations, liabilities and claims under this Schedule. “AG” means AG International Luxury Brands Authentication Limited. “Seller” includes a Merchant and a Private Seller.
- This Schedule supplements the Platform Terms of Use, Merchant and Private Seller Terms and Transaction Service Terms. Offers, Commitment Fees, Authentication Fees, the Watch Balance, cancellations, refunds and transaction-responsibility reviews are principally governed by the Transaction Service Terms. Accounts, listings and general Seller obligations are governed by the Platform Terms of Use and Merchant and Private Seller Terms respectively.
- If the relevant documents are inconsistent:
- the specific authentication and handover arrangements clearly displayed and accepted before confirmation of an individual Order prevail for that Order;
- this Schedule prevails for authentication, case opening, reports, reviews, related custody and handover expressly governed by it;
- the Transaction Service Terms prevail for payments, cancellations, refunds and allocation of funds; and
- all other matters are governed by the other applicable WM terms.
- Nothing in this Schedule reduces a right that cannot be excluded or restricted under applicable law.
2. Roles of WM and AG
- WM is responsible for the platform process, Orders and fees, bookings, transmission of information and instructions, transaction coordination, handover arrangements, and custody and chain of possession after WM actually receives a watch.
- AG is an independent professional authentication organisation. It conducts inspections and forms authentication opinions in accordance with its professional standards, equipment capability, actual inspection conditions, available information and the experience of its authenticators.
- WM will not require AG to change a professional conclusion and will not alter an authentication report without authority. WM may ask AG to clarify, supplement or review a report because of an information error, omission, User review request or process requirement.
- WM is the primary contact for bookings, enquiries, complaints and claims relating to services under this Schedule. WM’s coordination does not make it automatically liable in substitution for every act of AG. Actual liability is determined according to possession, the conduct and negligence of each party, and applicable law.
3. Nature and Limitations of Authentication
- Authentication provides a professional opinion on authenticity risk, appearance, visible movement condition, functions, components and accessories presented by the specified watch on the inspection date, under the specified conditions and within the scope reasonably capable of inspection.
- An authentication report is not:
- manufacturer or official brand certification;
- a permanent guarantee that every component is manufacturer-made, original at the time of manufacture or has never been replaced;
- a guarantee of quality, durability, future performance, timekeeping or water resistance;
- repair, maintenance or after-sales warranty cover;
- a guarantee of ownership, lawful provenance or non-stolen status;
- a market valuation, resale-value assessment or investment advice; or
- a guarantee against issues that cannot be detected visually, with available equipment or through reasonable non-destructive inspection.
- The report is one source of information for evaluating the transaction. Buyer and Seller remain responsible for reading the listing and report and deciding whether to proceed.
4. Seller Representations and Disclosure Obligations
- By submitting a watch for authentication, the Seller represents that it is the lawful owner or fully authorised, and has the right to submit, deliver and transfer good title upon completion.
- The Seller must ensure that the watch is not stolen property or proceeds of crime and is not subject to an undisclosed charge, lien, consignment restriction, ownership dispute or other third-party right.
- Before listing and submission, the Seller must truthfully disclose known repair, refurbishment, polishing, modification, water ingress, impact, functional abnormality, and any non-manufacturer, aftermarket, replacement, modified or model-inconsistent component.
- The submitted watch, photographs, serial number, warranty card, certificate, receipt and accessories must correspond to the listing and Order. The Seller must not alter or forge them, substitute the watch or submit a different watch.
- An undisclosed replacement, aftermarket, non-manufacturer or modified component may be recorded as a material discrepancy. If it involves counterfeiting or forgery, or causes AG to conclude that the watch involves counterfeiting, it may result in Authentication Not Passed and cancellation.
- If a Seller representation is untrue, WM may suspend or cancel the transaction, refuse handover or require evidence. Refunds, Authentication Fees and Seller Responsibility are governed by section 13 and the Transaction Service Terms.
5. Selection, Case Opening and Booking
- Where an Order uses authentication, the Buyer must confirm the option at Checkout and pay the stated Authentication Fee.
- Case opening is not automatic. The Buyer may request it on the payment page. WM will notify the Seller, and AG may open the caseback only after the Seller separately agrees and completes authorisation through the platform process. A Buyer request is not Seller consent.
- The Seller may agree or decline. If declined, authentication continues without case opening and WM will notify the Buyer. Declining case opening alone is not refusal of authentication, breach or grounds for cancellation.
- Because case opening affects the scope, the parties should communicate through the WM Platform before the Buyer pays and the Order is created. Messages or consensus do not replace the Seller’s formal response and authorisation record after Order notification.
- Booking deadlines and overdue handling are governed by section 10 of the Transaction Service Terms. This Schedule governs delivery, inspection and authorisation requirements.
- At the confirmed time and location, the Seller must submit the watch corresponding to the listing, the stated accessories and required authorisations. Cash, personal items or valuables not requested must not accompany it.
- If the Seller refuses an agreed ordinary authentication arrangement or reasonable testing required for an assessment without case opening, WM or AG may stop the authentication and refer the Order for manual handling without issuing an authentication outcome. The transaction and refund are handled according to the actual cause and responsible party. A declined case opening is governed by subsection 3. This does not apply where AG declines a test because of reasonable risk.
6. Scope of Authentication
- Depending on the brand, model, condition and feasibility, AG may inspect all or some of the following:
- brand, collection, model, reference, serial number and other identifiers;
- case, caseback, bezel, crown, pushers, crystal, dial, hands and luminous material;
- bracelet or strap, clasp, connecting parts and other external components;
- wear, scratches, dents, polishing, refurbishment and other visible condition;
- visible movement appearance, calibre, engraving, component configuration and condition following authorised case opening;
- timekeeping, winding, setting, calendar, chronograph and other operable functions;
- water-resistance or pressure testing where AG considers it appropriate and the risk acceptable;
- box, warranty card, certificate, tag and other submitted accessories; and
- visible repair, modification, aftermarket or replacement components and unusual traces.
- The report records the checks actually completed. Not every check can be completed for every watch.
- Unless stated in writing, ordinary authentication excludes complete movement disassembly, destructive testing, materials analysis, long-term performance testing, verification of every internal component, full manufacturer-record checks, and verification of ownership, charges, import/export and loss or theft records.
- Highly sophisticated counterfeits or professionally modified components, replacement components closely matching manufacturer specifications, repairs without visible traces, intermittent faults and existing issues not presenting during inspection may not be detected during ordinary authentication.
7. Authorisation for Case Opening, Operation and Testing
- Within the Seller’s applicable authorisation, AG may reasonably:
- open and reclose the caseback;
- remove and reinstall a strap, bracelet, clasp or detachable external component;
- wind, set and operate watch functions;
- use timekeeping, magnification, optical, pressure or other non-destructive equipment;
- photograph the watch, movement, serial number, accessories and inspection process; and
- use tamper-evident sleeves, seals or identifiers to prevent substitution.
- Ordinary authentication does not involve movement disassembly. AG may restrict, stop or decline a step that it considers poses unreasonable risk and, where practicable, record the reason.
- Reasonable case opening, removal and installation, and testing may cause unavoidable minor handling traces, pressure on a gasket or a change to the existing seal condition. Case opening or pressure testing is not a guarantee of existing or future water resistance and is not water-resistance servicing or gasket replacement.
8. Authentication Outcomes
8.1 Authentication Passed
This means that, within the specified scope, condition on the inspection date and available information, AG did not identify a material indicator sufficient for it to conclude that the watch involves counterfeiting, and no matter required an “Authentication Passed with Findings” outcome.
It does not mean that every component was original at manufacture, never repaired or replaced, and is not manufacturer certification or a permanent guarantee of authenticity.
After Authentication Passed, the Order proceeds to handover.
8.2 Authentication Passed with Findings
This means that AG did not conclude within the specified scope that the watch involves counterfeiting, but identified a material matter potentially affecting the transaction decision, such as condition, function, repair, polishing, replacement, aftermarket or non-manufacturer components, accessories, an information discrepancy or another abnormality.
The Buyer should read the findings. If they were sufficiently disclosed in the listing, the Order proceeds to handover.
If a finding was not sufficiently disclosed and may materially affect the transaction decision, WM may suspend the Order and notify the Buyer. The Buyer may proceed at the original Transaction Price or cancel under the Transaction Service Terms. The Buyer must respond within 24 hours after notice. If overdue, the Order enters “Order Overdue” status for manual contact and handling and does not automatically cancel.
If the parties wish to adjust the Transaction Price because of a finding, they must contact WM customer support. A change is effective only after WM verifies mutual agreement and updates the Order record. Until then, the original price remains in effect.
8.3 Authentication Not Passed
This means that, based on observable information and professional judgement, AG concludes that the watch or a material part of it involves counterfeiting. It is a professional opinion within the specified scope, not a court determination of criminal, civil or trade-mark liability.
The Order will generally be cancelled. The Commitment Fee and Authentication Fee are refunded under the Transaction Service Terms. WM may also restrict the product or account, retain records and cooperate with an investigation according to Seller Responsibility, platform rules and applicable law.
This outcome does not automatically entitle WM or AG to confiscate, destroy or permanently retain the watch. WM and AG may retain images, the complete serial number, authentication and handover records and other evidence. After required records are completed, the Seller pays amounts due for the same Order under section 13 and return formalities are completed, the watch will generally be returned to the Seller who submitted it. If theft, crime or fraud is reasonably suspected, or a court, police, customs authority or other competent body requires otherwise, WM or AG may suspend return, preserve evidence and cooperate with the investigation. WM will not automatically sell, destroy or otherwise dispose of a watch merely because money is owed.
The only formal report outcomes are “Authentication Passed”, “Authentication Passed with Findings” and “Authentication Not Passed”. Inability to complete a reasonable assessment because of information, equipment, inspection risk, refusal of authorisation or another reason is handled as a process matter and is not a fourth outcome.
9. Authentication Reports and Use Restrictions
- A report applies only to the identified watch, authentication date, condition and accessories submitted at that time, and the inspection scope actually completed.
- If the watch is subsequently opened, repaired, serviced, polished, refurbished, modified, fitted with a replacement component, impacted, exposed to water, magnetised, substituted or otherwise altered, the report may no longer apply.
- If a paper copy, screenshot, export or third-party reproduction differs from the latest verifiable electronic record on the WM Platform, the latest platform version prevails.
- Without written consent from WM or AG, a User must not alter, abridge, combine, forge or apply a report to another watch, remove verification or limitation information, or use it in a way suggesting a permanent guarantee from the manufacturer, WM or AG.
- A User may provide the complete, unaltered report for the relevant transaction, insurance, legal claim or regulatory requirement. WM or AG may mark an altered or misapplied report invalid.
- WM and AG may retain the complete serial number in internal authentication and chain-of-custody records. Buyer-facing reports and public verification pages, previews, exports and shared versions display only a partially masked serial number, including after completion. A Seller may view the complete serial number in the Seller version for its relevant Order. The serial number is an auxiliary identifier only; the report’s principal content and conclusion are the stated outcome and findings. Except for Seller access described here, a legal requirement or necessity for a specific dispute, WM and AG will not disclose the complete serial number to another User.
- Buyer and Seller may view the report in the relevant Order. The Buyer version shows a masked serial number and the Seller version the complete serial number; all other content and conclusions should be identical. Other Users cannot access it through their accounts or Orders. A report or valid verification information voluntarily supplied by a transaction party still displays only the masked serial number. WM and AG personnel may access corresponding complete internal records only as required for authentication, custody, customer support, review, claims, risk management or legal compliance.
10. Report Review and Objections
- A Buyer or Seller with a specific objection to a report must contact WM customer support within 24 hours after the report is issued on the WM Platform, identifying the disputed item, reasons and evidence.
- On receipt, WM will suspend the Order and handover process for manual follow-up. After review, WM will resume the transaction, cancel the Order or take other appropriate action under the outcome and applicable terms. Before completion, the watch must not be collected, unsealed, repaired, modified, fitted with replacement parts or otherwise altered.
- Depending on the objection, WM may ask AG to clarify or supplement the report, arrange reinspection, arrange review by another authenticator where practicable, or request more information. Review does not guarantee a different authenticator, completion by a particular time or a change in conclusion.
- WM currently charges no additional fee for an ordinary report review. It may change future review fees by advance publication, without retrospective effect. If a review involves testing outside the original scope, an external expert or another additional service, WM may quote separately after explaining the scope and fee and obtaining the applicant’s consent.
- A revised report issued by AG replaces the original report.
- If a failure of the WM Platform or published support channel objectively prevents timely submission, the period will be reasonably extended by the period of inability. The User must submit promptly after restoration.
- If no objection is made within 24 hours, WM may continue based on the report. This section governs report reviews only. It does not replace notification of loss, damage, substitution or accessory discrepancy at handover and does not exclude rights that cannot lawfully be excluded.
11. Handover and Onsite Inspection
- WM Platform transactions should generally be completed at a WM-designated WM Handover Centre, which provides identity checks, handover records, CCTV recording and immediate support.
- Booking deadlines and overdue handling are governed by section 10 of the Transaction Service Terms. This Schedule governs the onsite process, physical inspection and custody.
- Where necessary because of payment method, a Buyer’s shop visit or another practical reason, the parties may arrange handover at the Seller’s shop or another location through a WM-permitted process. WM Handover Centre support, identity checks, records and CCTV protection do not apply there.
- At handover, the recipient should, where reasonably practicable, inspect the identity, model, serial number, obvious external condition, accessories, seals and packaging. Before delivery, the Seller must independently confirm final receipt of the Watch Balance.
- The parties may confirm completion through the platform process. WM Handover Centre personnel may also record completion after checking onsite delivery and obtaining required confirmations. Their record of physical delivery alone does not replace the Seller’s confirmation that the Watch Balance finally cleared; the Seller remains responsible for verifying receipt.
- If handover cannot be completed and both parties agree onsite to cancel and return the watch and accessories to the Seller, WM may return them after checks, photographs and chain-of-custody records without continuing custody solely because financial responsibility remains unresolved. Physical return does not mean agreement on cancellation responsibility, Commitment Fee, Authentication Fee, refund or other amounts. WM may determine those matters later under the applicable terms and evidence.
- If a material dispute exists over the recipient, Watch Balance status, substitution of the watch or accessories, or another secure-delivery issue, WM may suspend delivery and hold the watch temporarily until consistent written instructions are received, WM completes the applicable process based on clear records, or a competent authority gives directions. WM may set a reasonable response or collection deadline. If missed, WM may continue contact, restrict relevant account or Order functions and act according to law. At present, a watch is not automatically sold or disposed of and no storage fee automatically accrues merely because a deadline expires.
- Based on platform records and the parties’ information, WM may determine platform-level treatment of the Commitment Fee, Authentication Fee, refunds and account or product measures. That determination is not a final adjudication of ownership, fraud, damages or other legal rights.
- Obvious loss, damage, substitution or accessory discrepancy should be reported to onsite personnel or WM before completion, with the watch, packaging, photographs and handover records preserved. A matter not reasonably discoverable onsite should be reported promptly after discovery.
- The 24-hour report review period applies separately from physical handover issues. Handover after that period does not by itself exclude a claim relating to handover or custody.
12. Receipt, Custody and Chain-of-Custody Records
- At the confirmed booking, the Seller must deliver the watch and stated accessories directly to the AG-designated authentication location.
- From AG’s formal receipt until WM personnel sign for and collect it, AG has actual custody and must exercise reasonable care.
- From WM personnel’s receipt and collection from AG until handover, return to the Seller or delivery to another authorised person, WM has actual custody and must exercise reasonable care.
- Each transfer between AG and WM should verify and record the watch and accessories, visible condition, seals or packaging, serial number or other identifiers, date and time, and identity or confirmation of the transferring persons.
- WM and AG may photograph the watch, accessories, condition and packaging at receipt, submission, collection and handover, and may use tamper-evident sleeves, seals or identifiers. Delivering and collecting persons may be asked to confirm the records.
- WM and AG are not liable as having caused wear, scratches, ageing, internal issues, functional abnormalities, non-manufacturer modifications or other pre-existing conditions. This does not affect liability imposed by law for new loss directly caused after receipt by failure to exercise reasonable care.
- A User should provide the Transaction Price, purchase receipt, insurance information or other evidence of value when requested. Special collectible, historical, sentimental or premium value without reasonable evidence is not automatically compensable value.
13. Authentication Fee, Cancellation and Refund
- The amount and payment of the Authentication Fee are governed by the Transaction Service Terms and the Order page shown before payment.
- Refunds of the Authentication Fee and Commitment Fee, Seller and Buyer Responsibility and cancellations not attributable to either party are governed by the Transaction Service Terms. This Schedule does not create a different allocation regime.
- If Authentication is Not Passed, the Seller refuses a confirmed reasonable test, fails to deliver as arranged, submits another watch, makes an untrue representation, or the physical watch materially differs from the listing, WM may handle cancellation, refund and Seller Responsibility under the Transaction Service Terms. A Seller’s refusal of case opening alone is not refusal of reasonable testing.
- If WM or AG continues to hold the watch because of Seller Responsibility described above, unless law requires otherwise, WM may defer return until the Seller pays an Authentication Fee or other amount directly arising from that watch and Order, confirmed under applicable terms and notified to the Seller, and completes identity checks, booking and return confirmation. This condition does not apply to another Order or general account debt. A Seller disputing the amount may pay under reservation and later request review through WM customer support; payment does not waive the dispute. If a competent authority requires suspended return, payment does not require immediate delivery.
- If the Buyer cancels or refuses a confirmed process, the Authentication Fee and Commitment Fee are handled under the Transaction Service Terms.
- If cancellation results from an event beyond reasonable control or another cause attributable to neither party, both fees are handled under the Transaction Service Terms.
14. Limitation of Liability and Physical Loss
- This Schedule does not exclude or limit liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, wilful misconduct, liability that applicable law does not permit to be limited, or consumer rights that cannot lawfully be excluded.
- WM and AG are not liable for issues outside the actual inspection scope, not reasonably discoverable at the time, arising later or caused by third-party alteration. For authentication itself, liability extends only to loss directly and reasonably foreseeably caused by their breach, negligence or other conduct for which they are liable by law.
- To the extent permitted by law and relevant reasonableness requirements, total liability arising from a single authentication service is limited to the Authentication Fee actually paid by the Buyer for that service. This does not apply to subsection 1 or to loss of or new physical damage to a watch during actual custody.
- If a watch is completely lost, destroyed or beyond reasonable repair during WM’s actual possession because WM failed to exercise reasonable care, the compensation basis will not exceed the lower of:
- the Transaction Price recorded for that transaction; and
- the reasonable market value immediately before the event.
- If reasonably repairable, WM may arrange repair or pay reasonably evidenced repair costs. Any reasonably evidenced market-value diminution directly remaining after repair may be separately assessed. Their aggregate must not exceed the total-loss compensation basis.
- Compensation covers only direct actual loss and is reduced for pre-existing damage, wear, depreciation, functional issues, the User’s own contribution and compensation received from the Seller, an insurer, payment institution or another third party. No loss is compensated twice.
- A claimant must provide reasonably available transaction records, purchase receipts, before-and-after photographs, repair quotations and other evidence of value and loss. WM may request an assessment from the manufacturer, a qualified repairer or another independent professional. A unilateral quotation or valuation does not automatically bind WM or another party. WM will assess the claim using platform records, chain-of-custody evidence and information from the parties. If responsibility or amount is not agreed, the parties should first negotiate through WM customer support and then follow the dispute and legal process under this Schedule.
- For an event during AG’s actual possession, WM will act as the primary claim contact and coordinate records, investigation and communication. Liability remains determined by actual possession, conduct, negligence and applicable law.
- To the maximum extent permitted by law, WM and AG are not liable for market-price movements, expected resale profit, investment opportunity, funding or financing cost, sentimental or commemorative value, or special, indirect, incidental or consequential loss.
15. Data and Inspection Records
- WM and AG may process and transfer between them necessary information for identity and transaction verification, bookings, authentication, reports, custody, handover, prevention of substitution or fraud, payment and refund, review, complaints, legal claims and compliance, in accordance with the Privacy Policy, applicable Personal Information Collection Statement and the Personal Data (Privacy) Ordinance of Hong Kong.
- Information may include contact and transaction data, watch information, complete serial numbers, images, video recordings, inspection records, reports and chain-of-custody records.
- WM and AG will retain the information for as long as reasonably required to complete authentication and handover, handle reviews, complaints and claims, and fulfil legal obligations. When no longer required, it will be deleted, anonymised or otherwise securely disposed of according to applicable policies and law.
- A User requesting CCTV footage, photographs or another record relating to a transaction must contact WM customer support. WM will handle the request according to identity verification, the privacy of others, record integrity and applicable law. Unless law requires otherwise, WM may respond by providing an extract or redacted copy, arranging access or submitting it to a competent authority, and does not guarantee direct provision of the complete original record.
16. Events Beyond Reasonable Control
- WM or AG is not in breach to the extent that performance is delayed or temporarily prevented by an event beyond its reasonable control, including natural disaster, fire, flood, government action, public transport disruption, widespread system or communications failure, public-health event or another event not reasonably controllable.
- WM will nevertheless take reasonable steps to protect watches in its actual possession, notify affected Users and restore service. Affected booking, notification or review periods may be reasonably extended by the period of actual impact.
17. Third-Party Rights
- AG may enforce the service limitations, report-use restrictions, limitations of liability and protections expressly applicable to AG under this Schedule pursuant to the Contracts (Rights of Third Parties) Ordinance (Cap. 623 of the Laws of Hong Kong).
- No person other than AG who is not a party to this Schedule may enforce it under that Ordinance.
- This section does not replace a separate service agreement between WM and AG concerning reasonable care, custody risk, loss or damage, professional liability, insurance, indemnity and chain-of-custody evidence.
18. Amendments, Law and Contact
- WM may amend this Schedule for service, operational, risk or legal reasons and publish the update through the WM Platform or another reasonable method. An update will generally not retrospectively alter substantive arrangements of a confirmed Order, except where required by law or urgently required to protect Users.
- If any part of this Schedule is invalid, unenforceable or subject to a limiting interpretation, the remaining provisions continue in effect. WM’s failure to exercise a right immediately is not a waiver of that right.
- This Schedule is governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. A dispute should first be submitted through WM customer support for attempted negotiation. If unresolved, either party may bring a claim before a court of competent jurisdiction in Hong Kong.
- This Schedule does not restrict a complaint to or request for assistance from a law-enforcement agency, regulator or other lawfully established dispute-resolution body.
